Independent supervisory board formed for Gazmerezhi

A supervisory board has been formed for LLC “Gas Distribution Networks of Ukraine” (“GAZMEREZHI”), comprising three independent members and two representatives of the shareholder Naftogaz Group.
“We are consistently implementing best corporate governance practices across all Naftogaz Group companies. The formation of a professional and independent supervisory board is an important step in the company’s development and toward improving the quality of management,” said Sergii Koretskyi, Chief Executive Officer of Naftogaz.

The selection of independent supervisory board members was conducted through an open procedure in accordance with the OECD Guidelines on Corporate Governance of State-Owned Enterprises.

The competitive selection process was carried out by an independent recruitment agency, which compiled a shortlist of candidates for further consideration and approval.

Following the competition, the independent members of the supervisory board are:
  • Gennadiy Chyzhykov — a Ukrainian economist and executive, Doctor of Economics, specializing in international economics. Since 2013, he has headed the Ukrainian Chamber of Commerce and Industry; prior to that, he served for over 10 years as President of the Donetsk Chamber of Commerce and Industry.
  • Marina Petrov — an international financial expert with over 20 years of experience in banking finance, investment, and market development in Central and Eastern Europe. She previously headed the EBRD office in Belarus and served as Deputy Head of the EBRD office in Ukraine. She has extensive experience in corporate governance and supervisory board work.
  • Justin Gunesinghe is an international expert in energy and gas markets with over 15 years of experience. His recent experience includes Energy Sector Director and Gas Markets Director at US consulting firm Tetra Tech. Previously, he was responsible for gas markets development in the UK and worked for the British electricity and gas supply company National Grid.

The shareholder’s representatives on the Gazmerezhi supervisory board are Lesia Kyrychenko, currently Head of Legal Support for the filling station network at Ukrnafta, and Nataliia Kalimbet, Head of the Department for Management Accounting and Business Analytics at Ukrgasvydobuvannya.
